Terms of service
Last updated: 4 September 2026
These terms are a contract between Nexelion, Inc. and the person or company that signs up for ZiGo. Read them: by creating an account, paying a subscription or using the service, you accept them. If you sign up on behalf of a company, you represent that you have authority to bind it.
1. Who we are and what ZiGo is
ZiGo (usezigo.app) is a cloud business-management platform operated by Nexelion, Inc., a company incorporated in the state of Florida, United States, with employer identification number (EIN) 41-2376509. We give you access to a management software instance —sales, purchasing, inventory, invoicing, financial reports, payroll, website, point of sale and any add-on modules you buy— hosted and operated by us, with its own subdomain and automatic backups.
ZiGo integrates third-party software components published under open-source licences, which are governed by those licences and owned by their respective authors. Odoo is a registered trademark of Odoo S.A.; ZiGo is not affiliated with, associated with or sponsored by Odoo S.A.
2. Who can sign up
ZiGo is a service for professional or business use. To sign up you must be of legal age in your country and have capacity to bind yourself. The service is not directed at minors or at consumers for household use.
3. Your account and your users
You are responsible for your account credentials and for those of the users you create inside your instance, and for everything that happens with them. You will tell us without delay if you detect unauthorised access. Your plan includes a set number of users; creating more than you contracted requires expanding the subscription.
Note that your management instance and your ZiGo dashboard are two separate logins with separate credentials. The temporary password we email you is for your instance and you must change it on first sign-in.
4. Prices, payments and taxes
The subscription is annual and has two parts: 300 USD per year for your instance —your own dedicated ZiGo, with its database and its backups— and 5 USD per user per month, that is 60 USD per user per year. Everything is billed in advance. The plan allows up to 10 users and one server; if you need more, write to us and we will put together a separate quote. Add-on modules are a one-time 100 USD each, up to 10 add-ons on top of the 10 included in the plan, and consulting, training or development hours cost 30 USD per hour.
You can expand what you have contracted at any time from your dashboard. Users added mid-term are charged pro rata until your renewal —you only pay for the days left in the contracted year— and from the following renewal they are billed in full, so your renewal amount goes up by 60 USD per new user. Add-on modules and service hours are one-time payments and are not prorated. Any expansion is activated once the payment is confirmed.
Prices are in United States dollars and do not include the taxes, withholdings, bank fees or conversion charges that may apply in your country: those are on you. Payments are processed through Stripe or PayPal; we never store your card details. The service is activated once payment is confirmed.
We may update prices with at least 30 days' notice; the new price applies from your next renewal, never to a period already paid. Unless applicable law says otherwise, amounts paid are not refundable once the instance has been provisioned.
5. Renewal, suspension and termination
We remind you 30, 15, 7 and 1 day before expiry with a payment link. If you do not renew, you have a 7-day grace period; after that the instance is suspended and, 30 days after suspension, archived. There is no lock-in: if you do not renew, you are not charged.
You can cancel by writing to support. We may suspend or terminate the service if you seriously breach these terms, if your use puts the platform or other customers at risk, or if ordered by a competent authority. Except in a security emergency, we will tell you first.
When the service ends we generate a final copy of your database and your files, and keep it for 90 days so you can download it. After that it is permanently deleted and cannot be recovered.
6. Your data and your backups
The data you record in your instance is yours. Every customer runs on an isolated instance and database, with encryption in transit. We take an automatic daily backup kept for 35 days, and from your dashboard you can generate on-demand copies, which are kept for 5 days and you can download.
Those copies are part of the service, not a substitute for your own backups. We recommend downloading and keeping a periodic copy of your information yourself, especially before major operations. We are not liable for data loss that a copy of your own would have prevented.
How we handle personal data is in the privacy policy, which forms part of these terms.
7. Intellectual property
The ZiGo platform, its brand, its interface, its documentation and the modules we develop ourselves are owned by Nexelion, Inc. or by whoever licensed their use to us. Signing up gives you a personal, limited, non-exclusive and non-transferable right of use while your subscription is active; it transfers ownership of nothing.
The third-party open-source components ZiGo integrates are governed by their own licences, which prevail over this clause as far as they are concerned.
Your data, your documents and your content remain yours. You grant us only the technical licence needed to host, process, back up and display them to you — that is, to provide the service.
8. Acceptable use
You may not use ZiGo, or allow it to be used, to:
- carry out illegal or fraudulent activities, or infringe third-party rights;
- send unsolicited email, bulk messages without consent, or impersonate anyone;
- store or distribute malicious software;
- attempt to reach instances, data or infrastructure that are not yours, or circumvent resource limits, authentication or any security measure;
- resell, sublicense, rent or lend the service to third parties, or run it as your own platform for your customers, without a written agreement with us;
- run load tests, scans or security audits without prior written authorisation;
- reverse-engineer the proprietary parts of the platform, or systematically extract its content by automated means.
You are responsible for the content you upload and for having the right to process it, including the personal data of your customers and employees.
9. Availability, maintenance and support
We work to keep the service continuously available, but we do not offer a service level agreement with a guaranteed uptime percentage or automatic credits for outages. Scheduled maintenance is announced with reasonable notice; emergency maintenance may happen without prior notice when there is a security or data-loss risk.
First-line support is an artificial intelligence assistant available in your dashboard, which can look up your account status and take actions on your instance at your request. Cases that need it are escalated to our team during business hours. You can review and undo what the assistant does; its involvement does not relieve you of checking the result.
10. Professional services
Consulting, training and custom development are bought by the hour and agreed case by case. Unless agreed otherwise in writing, purchased hours do not roll over indefinitely and are not refundable, and custom developments we are paid for and deliver are available to you under the licence agreed for each engagement.
11. We do not provide accounting, tax or legal advice
ZiGo installs the chart of accounts and taxes of the country you choose, as published by the open-source community they come from. That is a starting configuration, not professional advice and not a guarantee of compliance.
Electronic invoicing with your country's tax authority is not included in the service and, when we offer it, it is separate work quoted by the hour. You are solely responsible for your accounting, tax and employment obligations, for the accuracy of what you record, and for confirming with your accountant or lawyer that the configuration matches the rules that apply to you.
12. Confidentiality
Each party will treat as confidential the other's non-public information it accesses through the service, and will use it only to perform these terms. This obligation lasts two years after the relationship ends, and does not apply to information that is or becomes public through no fault of the recipient, or that must be disclosed by order of a competent authority.
13. Warranties
The service is provided "as is" and "as available". To the maximum extent permitted by applicable law, we give no implied warranties of merchantability, fitness for a particular purpose, absence of errors or uninterrupted operation. Nothing in these terms excludes warranties that the law declares non-waivable.
14. Limitation of liability
To the maximum extent permitted by applicable law, and except for our wilful misconduct or gross negligence:
- we are not liable for indirect, incidental, special or punitive damages, nor for loss of profit, revenue, customers, reputation or business opportunity, even if we had been warned they were possible;
- our total aggregate liability for any claim related to the service is limited to the amount you have paid us in the 12 months before the event giving rise to it;
- we are not liable for failures, outages or losses caused by third-party services (cloud providers, payment gateways, network operators), by your connection or equipment, or by the use you or your users make of the platform.
15. Indemnity
You will hold us harmless against third-party claims arising from the content you upload, from your use of the service in breach of these terms, or from your infringement of third-party rights, including reasonable defence costs.
16. Force majeure
Neither party is liable for non-performance caused by events beyond its reasonable control: natural disasters, widespread power or telecommunications outages, armed conflict, acts of authority, strikes or serious failures of infrastructure providers.
17. Changes to the service and to these terms
We may modify, add or withdraw features to improve the service. If we withdraw a relevant feature you were using, we will tell you with reasonable notice.
If we change these terms we will notify you by email at least 15 days in advance, and the version in force will always be on this page. Continuing to use the service after the effective date means you accept them; if you disagree, you can cancel before that date.
18. Assignment
You may not assign these terms or your account without our written consent. We may assign them to a company in the same group or in the context of a merger, acquisition or sale of assets, on notice to you.
19. Governing law and dispute resolution
These terms are governed by the laws of the state of Florida, United States, without regard to its conflict-of-laws rules or to the United Nations Convention on Contracts for the International Sale of Goods. The parties submit to the state and federal courts sitting in the state of Florida, and waive any other venue that might apply to them.
Before going to court, the parties will try in good faith to resolve any dispute for 30 days from written notice. Nothing prevents either party from seeking urgent injunctive relief.
20. Languages
We publish these terms in Spanish, English, French and Portuguese. Each version is equally binding: the one governing your contract is the language in which you signed up. If you spot a discrepancy between two versions, write to us and we will correct it.
21. General provisions
If a court declares any clause invalid, the rest remains in force and that clause will be read as closely as possible to its intent. Not exercising a right is not waiving it. These terms and the privacy policy are the entire agreement between the parties about the service, and supersede any earlier agreement on the same subject. Notices go to your account's contact email and to legal@usezigo.app; keeping your email up to date is your responsibility.
